Alberta Members - PLEASE READ
These are the new proposals for disolving the Calgary club and making it an Alberta club. Comments/etc appreciated.

I think its a good idea, but a few things need to happen first : a) SOMONE has to work on the webpage. It looks like crap and hasn't been updated for like months. b) We need to change it from Impreza club to Subaru club c) We need SPONSORS. We'll need someone to go talk the dealers, shops, etc. to try and land us some deals. d) We need to put in a yearly membership fee. Wont be very much (like $10-$15). This can be used to pay for the domain name (something like albertasubaruclub.com) or similar. Find a sponsor would pay off peoples fees basically (from the money they will save) e) We need a leader in Edmonton, but not separate chapters/meets/etc. We should do everything together, alternating locations between Edmonton, Red Deer and Calgary. Having 4 person meets isn't much use. I think we should aim for 10+ people/cars at each meet. Look at the Quebec, Ontario and BC meets! They have like a thousand cars. f) We need flyers at the dealers. We need to talk to dealers about putting flyers there. There's going to be lots more Imprezas on the road as soon as the WRX comes out. That's the best place to find new members - right when they buy the car. We'll go back to try and find new members for the executive again. i) president - me ii) events coord - daven iii) promotions (webpage) - ?????????? iv) recruiting (flyers, etc.) - ????????? v) sponsor (get sponsors) - ????????? vi) edmonton leader - ?????????? Hi guys.
Some more news on the restructure of the club (PLEASE READ THIS COMPLETE EMAIL - VERY IMPORTANT INFORMATION). #1 - Mark is now the Edmonton coordinator. We will sort things out shortly as to who is taking care of what now. #2 - We need to change the name of the club to something that doesn't include the word "SUBARU" (see #4 why). Suggestions? #3 - Warren is taking over the web page. Anyone that wants things added/changed/etc. need to contact him, and not me. #4 - I have been talking to Robin @ the Ottawa club. If we plan on doing any events as a club, we need to incorporate the club. Reason being, if anything happens, the organizers of the club can be held liable (unless the incorporation takes place). I (and others on exec) don't want to be sued! ;-) What this means is that it will take a few months to incorporate and will cost several hundred dollars. As you can see, we won't be able to offer free membership anymore due to the above situations. There are no fee's for out of province members (i.e. Jens,Foz) or guest members (i.e. Shawn) #7 - Deciding on a domain name - once we figure out the new club name, we will need to decide upon a domain name for the website. I don't own a Subaru, although I plan on purchasing one in a month or two if all goes well. I work for a Calgary based Chartered Accountancy partnership and if I decide to join the club (assuming I buy my Subaru), I may be able to help out with the financial statements / income tax side of things. Do realize that if you incorporate, the major costs are really at the start as there are the legal fees, incorporation documents, minutes, directors, acts, etc. that must be set up. If you require an audit for the club (some companies do, depending on what acts / legislation you fall under) then there will be an annual cost there as well. As for liability insurance, just to give you an idea, a not-for-profit organization I just completed the audit for pays directors' insurance of $1,500 per annum for $2M of coverage.
You will need a membership base large enough to support those annual costs or else the membership fees will be prohibitively expensive and the benefits of the club may not outweigh that cost. Anyway, I could probably ramble on but what I intended to mention was that I am a public accountant, hopefully CA someday, who might be able to lend a hand. Some insight... The non-profit incorporation is the way to go... I did myself with no legal help. Industry canada is very helpful when it come to non-profit incorporation. What takes time is doing the bylaws but use the example (very very helpful). I cost our club $200 to incorporate. For the Subaru name, we hit the glitch with our first incorporation name as "National Capital Subaru Club" but Fuji Heavy industries owns the world wide trademark for Subaru and nothing could be done... but our official incorporation name is NCSC-CSCN.inc You'll see when you do the name search.... It may be cheap to incorporate but under the non-profit regulations, an audit is required:
"AUDITOR Appointment - The by-laws must indicate that the members will appoint an auditor at each annual meeting. The requirements regarding who can be licensed to render an audit opinion may vary from province to province. However, the auditor may not be a director, officer or employee of the corporation or of an affiliated corporation, or associated with that director, officer or employee, unless all of the members have consented. Reporting - The by-laws must indicate that the auditor will audit the accounts of the corporation and make a report to the members at the annual meeting. An auditor must audit the annual financial statements of the corporation and report to the members at the annual general meeting on whether these financial statement are fairly presented in accordance with generally accepted accounting principles. It is important to be aware of the fact that the Canada Corporations Act does not permit a waiver of audit." This isn't to say an audit will be expensive but I wanted to point out that from my experience I have never seen a non-profit that was not audited so I see no way around that. I am not saying it will cost a lot of money to have it done but you must consider these factors. Consider doing up an annual budget of expected costs and working capital necessary to start up the club. Then, based on the estimated costs of running the club and the estimated number of members you can determine what would be a breakeven membership price. Just some more food for thought. Just some additional food for thought. As the directors of the Corporation, you have a responsibility to the members for the management and stewardship of corporate assets and in doing so an audit is a good way to have an independent opinion on the financial statements of the Corporation. One other point of note, Corporate year ends that end after Dec. 31, 1999 are required to file their tax returns using what is known as the General Index of Financial Information (GIFI). The GIFI is in essence, a bunch of numbers that are coded to relate to certain items on the financial statements so Canada Customs and Revenue Agency (CCRA) can review tax returns more quickly. Unless you plan to purchase this software to prepare the tax return (likely quite costly, I don't know for sure as the firm pays for it) that is another service an accountant can provide for you. Sorry if my comments are not quite as structured as they should be but I just thought I would share some thoughts with you all as its better to have those issues raised now rather than later.
